Supplier agreement
Effective October 30, 2026
This agreement is between the business or person you sign up (the supplier, "you") and The Desi Troop Holdings Ltd. ("Packdoor", "we") for listing the supplier in Packdoor's "Book your night" directory and for messaging event organizers through Packdoor. You accept it for the supplier when you sign up.
1. What Packdoor is, and is not
- Packdoor is a place where event organizers find suppliers (DJs, crew, food and security businesses and others we list) and where they exchange messages. That is all it does at launch.
- Packdoor is not a party to any booking, quote, contract or payment between you and an organizer. You and the organizer agree on the work, the price and the terms yourselves. Packdoor is not your agent, employer, partner or insurer, and does not supervise your work.
- Packdoor does not guarantee that you will receive any enquiry, booking or income, or that the directory will be available without interruption.
- You must be at least 18 and able to act for the supplier. If you sign up a business, you confirm that you may bind it.
2. Your licences, permits and insurance are your job
- You are responsible for every licence, permit, registration, certificate and insurance policy that your service needs, in every place you work. For example: a security business and its guards need the licences required by Ontario's Private Security and Investigative Services Act, 2005, or by the law of the province where they work; food sellers need the food-premises approvals, food-handler certificates and public-health rules that apply; anyone who serves alcohol needs the training and permits that apply; and you need the business licences and tax registrations that apply to you.
- Packdoor does not check your licences, permits, insurance, training, criminal record, identity or skills. A licence or insurance detail on your profile is what you declared, and the profile says so. If Packdoor ever marks a detail as checked on a date, that means only that we saw a document or a public register entry matching it on that date. It is not a guarantee, and it does not mean the detail is still true.
- You promise that everything you put on your profile and say in messages is true, complete and not misleading, including your licences, insurance, experience, photos, prices and availability. You keep it up to date, and you remove a licence or insurance detail that is no longer valid.
- Organizers are told to check your licences and insurance themselves before they rely on you. You agree to show them the documents when they ask.
- You carry the insurance that your service reasonably needs, such as commercial general liability, and you are responsible for the quality, safety and legality of your work, your staff and your equipment.
3. Your profile: content rules and staff review
- Nothing about you is shown to organizers until Packdoor staff have reviewed and approved your profile. We may ask you to change it, refuse it, or ask for more information. Approval is not an endorsement or a check of any claim in it.
- You may post only content you have the right to use. By posting it, you give Packdoor a free, non-exclusive licence to host, copy, resize and show it in Packdoor and on your public Packdoor page, for as long as it is posted. You keep ownership.
- Your content must not be false or misleading, copied from someone else, hateful, harassing, sexually explicit, discriminatory or illegal, and must not advertise anything illegal. Do not use Packdoor to sell alcohol, drugs or anything else the law restricts. Do not post other people's personal information without their permission.
- Do not use the messages to send spam or to avoid Packdoor. Packdoor hides phone numbers, email addresses and other contact details in messages until a booking is confirmed through Packdoor, and may flag a conversation that keeps trying. Do not work around this.
- Organizers and suppliers can block a conversation or report it to us. Staff may read reported conversations, and may close a conversation or a listing and remove content.
- A change to certain parts of your profile may need a new review before it is shown.
4. Removal, suspension and leaving
- You can hide your listing at any time, and close your supplier account from your console.
- Packdoor may pause, hide or remove a listing, close conversations, or suspend or close your account, for example if the listing is wrong, misleading or unsafe, is reported repeatedly, is used to avoid Packdoor, breaks this agreement or the law, or relies on a licence that has expired. We say why, except where the law or safety stops us, and you may answer to info@packdoor.ca.
- Packdoor may also end the directory or a city in it, with at least 30 days' notice where we can give it.
- Closing your account does not cancel any work you already agreed with an organizer. That work remains between you and the organizer.
5. Messages, privacy and keeping records
- A conversation is a record for both businesses in it. Both can read it and download it. Packdoor stores it, and may read it to run the service, to deal with a report, to keep Packdoor safe, or if the law asks.
- A conversation that does not lead to a booking is deleted 7 days after its last message. Both sides are reminded 2 days before. A conversation tied to a booking made through Packdoor is kept for 7 years, because it is a record of a payment. After a conversation has been deleted, a report about it keeps only its reason and the two organizations.
- Packdoor handles personal information, yours and your team's, as its Privacy policy says (packdoor.ca/privacy). You agree to be listed, and you can withdraw that by hiding your listing. When a person asks Packdoor to erase their information, their name is removed from the records and their messages show "A former member"; the words of the messages stay as the businesses' record.
- When you receive an organizer's name or contact details, use them only for that organizer's request, and look after them. Do not add them to a marketing list unless they have clearly agreed.
6. Fees
- At launch Packdoor charges suppliers nothing to list or to message.
- Packdoor may introduce fees, for example for premium features, or a commission if bookings are paid through Packdoor. If it does, it tells you at least 30 days before the fee applies to you, shows the amount before you agree to anything, and you may leave first. A payment feature has its own terms, shown before you use it.
7. Liability and indemnity
- The directory is provided as it is. To the extent the law allows, Packdoor is not liable for what suppliers or organizers do or fail to do, for a supplier's service or an organizer's event, for bookings, quotes, payments or disputes between them, for a licence or insurance detail that turns out to be wrong, for loss of profit or business, or for indirect or consequential loss.
- To the extent the law allows, Packdoor's total liability to you for anything connected with the directory is limited to the greater of the fees you paid Packdoor in the 12 months before the claim and $100.
- Nothing in this agreement limits liability for Packdoor's gross negligence or intentional fault, or anything else the law does not allow to be limited, and nothing takes away rights you cannot give up.
- You are responsible for your service and your content. You will compensate Packdoor, The Desi Troop Holdings Ltd. and their people for losses, claims and reasonable legal costs that come from your service, your content, your licences or insurance being missing or false, your breach of this agreement or of the law, or a claim by an organizer, a guest or anyone else about your work. Packdoor tells you promptly of such a claim and lets you handle it, and you may not settle it in a way that binds Packdoor without its written agreement.
8. Changes and ending
- Packdoor may change this agreement. For a change that matters, we tell you by email or in your console at least 30 days before it applies, and ask you to accept the new version. If you do not accept, you can close your account. Using the directory after that date means you accept the new version.
- Either of us may end this agreement at any time: you by closing the account, Packdoor by written notice. The sections on messages and records, liability and indemnity, and the law that applies continue after it ends.
9. Your data when you leave
- Before you close your account, you can download your listing, licences, conversations and reports from your console.
- After you close it, ask us at info@packdoor.ca within 30 days and we will send you a copy, unless the law stops us. After that, your profile and your personal information are deleted or made anonymous as the Privacy policy says, except what we must keep, such as records of payments for 7 years.
10. Law and contact
This agreement is governed by the laws of Ontario and the federal laws of Canada. The courts of Ontario, sitting in Toronto, decide any dispute about it, except where the law lets you go to the courts of another province, including Quebec. Questions: info@packdoor.ca. Packdoor is operated by The Desi Troop Holdings Ltd., 1212 Meadowlands Drive East, Ottawa, Ontario K1V 1A1, Canada.
This agreement is available in English and in French (packdoor.ca/fr/supplier-terms). Both versions are equally valid; if they differ, the meaning that is more favourable to you applies.
